§ 1 Scope of Application
These General Terms and Conditions apply to all contracts, deliveries and services between Löwentech, Urbanstraße 84, 10967 Berlin, and its clients in the areas of engineering, software development, technical consulting, system integration and project-related technical services.
Deviating terms of the client shall only be recognized if expressly confirmed in writing.
§ 2 Subject Matter of the Contract
The subject matter of the contract comprises project-related development, consulting, software and engineering services.
The specific scope of services is determined by the respective offer, project contract or written order confirmation.
§ 3 Remuneration and Payment Terms
- All prices are net prices plus applicable statutory VAT.
- Invoices are due for payment within 14 days without deduction.
- For project-related services, progress payments may be agreed upon in accordance with project milestones.
§ 4 Client's Obligations to Cooperate
The client undertakes to provide all information, documents and access necessary for the execution of the project in a timely manner.
Delays due to lack of cooperation shall extend agreed delivery deadlines accordingly.
§ 5 Delivery Dates and Delays
Delivery dates shall only be deemed binding if expressly confirmed in writing.
Unforeseeable technical obstacles, lack of cooperation or force majeure shall extend delivery periods appropriately.
§ 6 Usage Rights for Software and Technical Solutions
All intellectual property rights, copyrights, source codes, technical concepts, software modules, algorithms, documentation and project-specific developments shall remain with Löwentech unless expressly agreed otherwise in writing.
The client shall receive exclusively a project-related, non-transferable right of use.
Any transfer, reproduction or use outside the agreed project scope is not permitted without written consent.
§ 7 Ownership of Development Results
Unless otherwise agreed in writing, no transfer of source code, development libraries, frameworks or generic software components shall take place.
§ 8 Acceptance
Services shall be deemed accepted when:
- they are used in the project, or
- no material defects are reported in writing within 7 days.
§ 9 Liability
- Liability is limited to intent and gross negligence.
- No liability is assumed for indirect damages, production losses, lost profits or consequential damages.
- Liability is limited to the respective order value.
§ 10 Confidentiality
Both parties undertake to maintain confidentiality regarding all technical, economic and project-related information.
§ 11 Final Provisions
- German law shall apply.
- The place of jurisdiction, insofar as permissible, shall be Berlin.
